Mission and charter

Our mission:

 

We are an independent non-profit civil association of socially responsible people who aim (on the basis of common interests) to form a society where everyone has equal access to necessary information and quality health and human rights services regardless of HIV status, sexual orientation, gender identity and social status.

 

 

Charter of the Omsk regional public organization «Center for Health and Social Support «SIBALT»

 

 

1. General Terms

 

1.1 The Omsk regional public organization «Center for Health and Social Support «SIBALT», short name the «Center «SIBALT», hereinafter the Organization, is a public association based on the membership and joint cooperation to defense public interests and achieve the charter’s goals of united citizens.

1.2 Full name of the Organization in Russian is the Omsk regional public organization «Center for Health and Social Support «SIBALT». Short name of the Organization in Russian is the «Center «SIBALT». «SIBALT» is an abbreviation of the phrase «Siberian Alternative».

1.3 The Organization carries out its activities in accordance with the Constitution of the Russian Federation, the Civil Code of the Russian Federation, Federal Law «On Public Associations», other legislative acts of the Russian Federation, and this Charter within territory of the Omsk region.


1.4 
The Organization is based on the following principles: humanity, voluntarily, democracy, equality, professionalism, fairness, tolerance, openness, self-governance and the rule of law.

  The Organization is a legal person from the moment of its state registration, has separate property, independent balance, settlement and other accounts in banks, round stamp, stamps and letterheads.

 The Organization may, on its behalf to acquire and exercise property rights and moral rights, bear duties, sue and be sued in court.


1.7
 The organization is responsible for its obligations to all its property. Members of the Organization are not liable for the obligations of the Organization and the Organization is not responsible for the obligations of members.


1.8
 The property transferred to the Organization, as well as created and acquired by the Organization in its work, belongs to the Organization by right of ownership.


1.9
 The Organization does not have as a primary objective of its activities to make profit and its distribution among the members of the Organization.

 Location of the permanent governing body of the Organization is: Frunze 40, office 203, Omsk, Russian Federation, postal ZIP code 644043.

 

2. The Organization’s goal and objectives

 

2.1 The goal of the Organization is health protection and social support for fostering a society where every person, without reference to HIV status, sexual orientation, gender identity and social status, has equal access to necessary information and quality services in sphere health care and social support.


2.2 To achieve the charter’s goal the main Organization’s objectives are:

 

2.2.1 Assistance for activity in the field of prevention and health protection, as well as promoting healthy lifestyle, improving moral and psychological state of people.

2.2.2 Educating people in health and social support, promoting healthy lifestyle.

2.2.3 Raising awareness and skills in health and social support among representatives of vulnerable groups affected by stigma, discrimination and violence, as well as among their loved ones.

2.2.4 Resource mobilization, development of activism and volunteering in the health and social support spheres.

2.2.5 Promoting the principle of equal access to necessary information and quality services in health and social support, regardless of HIV status, sexual orientation, gender identity, social status and other characteristics.

2.2.6 Providing psychological support, legal assistance, social care for representatives of vulnerable groups affected by stigma, discrimination and violence, as well as for their families and friends.

2.2.7 Fostering a tolerant attitude towards the representatives of social groups affected by stigma, discrimination and violence.

2.2.8 Implementation of innovative, evidence-based and effective social programs in the field of health and social support.

 

2.3 To achieve the charter’s goal and objectives of the organization carries out the following activities:

 

2.3.1 Counseling on issues related to health and social support.

2.3.2 Conducting group events (lectures, conversations, interaction seminars, trainings, presentations, round tables, conferences, forums, etc.), aimed at achieving the charter’s goal and objectives.

2.3.3 Collecting library (books, magazines and other publications), audio and video materials (films, videos) on issues related to health and social support.

2.3.4 Participation in organizing and conducting public campaigns aimed at raising public attention to issues related to health and social support.

2.3.5 Arranging meetings of self- and mutual aid groups, face-to-face counseling on social, legal and psychological issues for representatives of social groups affected by stigma, discrimination and violence, their families and friends.

2.3.6 Development and distribution of specialized printing, video and audio and prevention materials aimed at achieving the charter’s goal and objectives.

2.3.7 Promoting care for people affected by diseases and/or violence, with the involvement of nursing and paramedical personnel who has legal rights to care for patients.

2.3.8 Establishment and support of clubs of interests and social movements.

2.3.9 Participation in the contacts and information exchanges with the Russian, foreign and international public, scientific and humanitarian organizations.

 

3. The rights of the Organization

 

3.1 To implement the charter’s goal of the Organization have the right to:

 

3.1.1 Freely distribute information about its activities.

3.1.2 Participate in decision-making bodies of state power and local authorities in the manner and amount provided by the laws of the Russian Federation.

3.1.3 Conduct meetings, rallies, demonstrations, marches and pickets.

3.1.4 Establish the media and carry out publishing activities.

3.1.5 Represent and defend its own rights and legitimate interests of members in government bodies, local government and community groups.

3.1.6 Take initiatives on various aspects of public life and make proposals to government bodies.

3.1.7 Establish business partnerships and companies in accordance with the laws of the Russian Federation.

3.1.8 Create branches and representative offices in accordance with the laws of the Russian Federation.

3.1.9 Implement the business activities aimed at achieving the charter’s goal and objectives.

3.1.10 Implement the full powers stipulated by the laws on public associations.

 

4. Responsibilities of the Organization

 

4.1. The Organization obliged to:

 

4.1.1 Follow the legislation of the Russian Federation, generally recognized principles and norms of international law concerning the scope of its activities, as well as the rules stipulated by this Charter.

4.1.2 Provide access to review the annual report about using of the Organization’s assets.

4.1.3 Annually inform the body that made decision on state registration of the Organization, on the continuation of the activity with the actual location of a permanent governing body - the Board and the data on the managers in the amount of information included in the unified state register of legal entities.

4.1.4 Provide by request of state registration decision-making body, decisions of the governing bodies and officials of the Organization, as well as annual and quarterly reports on its activities in the amount of the information submitted to tax authorities.

4.1.5 Admit representatives of the state registration decision-making body on the activities of the organization.

4.1.6 Bear other obligations prescribed by law.

 

5. Members, their rights and responsibilities

 

5.1 Members of the Organization should be citizens of Russian Federation who have reached 18 years of age and legal entities - public associations. Foreign citizens and persons without citizenship legally residing in the Russian Federation may be members of the Organization, except in cases stipulated by international treaties of the Russian Federation or federal laws.


5.2 All members - individuals and legal entities - have equal rights and equal responsibilities.


5.3 Membership admission decision is made by the Board: for individual person - based on an individual application, for a legal entity - on the basis of statements and decisions of the governing body of the legal entity - a public association, which is a right granted to it by its Charter.


5.4 Members have the right to:

 

5.4.1 Elect and be elected to the governing and auditing bodies of the Organization.

5.4.2 Participate in all activities undertaken by the Organization.

5.4.3 Receive information about the activities of the Organization.

5.4.4 Freely leave the membership of the Organization.


5.5 Members are required to:

 

5.5.1 Follow the Charter of the Organization.

5.5.2 Execute decisions of the governing bodies of the Organization.


5.6 Membership in the Organization is lost in the following situations:

  • voluntary withdrawal;
  • exclusion;
  • death of individual member of the Organization;
  • liquidation of member - legal entity - public association;
  • liquidation of the Organization.


5.7 In the case of voluntary withdrawal individual member is required to submit individual statement to the Board, and a legal entity - the statement and decision of the governing body of the legal entity - a public association, which is a right granted to it by its charter.


5.8 Exclusion from the Organization is made by the decision of the Board in situations the failure to comply obligations under this Charter.

 

6. Governing bodies of the Organization


6.1 The supreme governing body of the Organization is the General meeting of members of the Organization (hereinafter - the General meeting) convened at least once a year. The Extraordinary General meeting may be convened at the request of not less than one-third of the members, or by a decision of the Board, or at the request of the Control and revision body.


6.2 The General meeting is authorized if more than half of the members of the Organization are attended.


6.3 General meeting decisions are taken by simple majority vote of the members who attend the General meeting, except cases stipulated in this Charter.


6.4 The exclusive competences of the General meeting are:

  • changes in the Charter of the Organization;
  • determination of priority areas of the Organization, the principles of formation and usage of its assets;
  • election of permanent governing body - the Board, and the Control and revision body - the Commission or the Controller, early termination of their authority;
  • reorganization and liquidation of the Organization.


6.5 Decisions on matters of exclusive competence of the General meeting are taken by qualified majority - at least 2/3 of the votes of the members attended General meeting.


6.6 Permanent governing body of the Organization is the Board. The Board is elected by the General meeting for a period of 1 year from members of the Organization, and corps of at least 3 people, and is accountable to the General meeting.


6.7 The competences of the Board are:

  • election of the Chairman of the Board and his deputy;
  • decision on membership or participation in other public associations;
  • control over the implementation activities of the Organization;
  • decision on establishment of business partnerships and companies;
  • approval of annual program reports of the Chairman of the Board, annual cost plans and financial reports, conclusions of the Control and revision body of the Organization;
  • establishment of branches and representative offices of the Organization;
  • admission of new members and the exclusion of members of the Organization;
  • other issues that do not constitute the exclusive competence of the General meeting.


6.8 Board meetings are held at least once every three months and are recognized as competent, if they are attended by more than half of the members of the Board.


6.9 Board decisions are taken by qualified majority - at least 2/3 vote of the Board members attending the meeting.


6.10 The Board is headed by Chairman of the Board, elected from members of the Board for one year.


6.11 The competences of the Chairman of the Board are:

  • implementation of operational management of the Organization in accordance with the approved programs and costs plan of the Organization;
  • submission projects, plans and reports for consideration and approval by the Board;
  • disposal the Organization’s assets within the costs plans approved by the Board, contracts, including employment, issuing powers of attorney, opening settlement and other types of bank accounts;
  • approval of the staffing table, issue orders and directives, prepare and submit internal documents of the Organization for approving by the Board;
  • preparing and conducting regular meetings of the Board;
  • other matters not classified by this Charter and the laws to the jurisdictions of the General meeting and the Board.


6.12 The Chairman of the Board acts without a power of attorney on behalf of the Organization, and represents the interests of the Organization in all Russian and foreign organizations, enterprises, institutions.


6.13 In the absence of the Chairman of the Board, on his behalf, his deputy acts as Chairman of the Board.

 

7. The Control and revision body of the Organization


7.1 The Control and revision body (commission or controller) elected by the General meeting from members of the Organization for 1 year period carries out revision of the financial and economic activities of the Organization.


7.2 The Control and revision body is accountable to the General meeting.


7.3 The Control and revision body verifies state and accounting of financial and material values of the Organization at least one time a year, prepares its opinion submitted for the Board’s approving.


7.4 Procedure of revision, the rights and obligations of the parties are determined by the regulations of «The Control and revision body of the Organization» approved by the General meeting.

 

8. Property of the Organization


8.1 For the Right of Property or other real right the Organization may own: lands, buildings, structures, equipment, inventory, cash, securities, information resources, intellectual property, and other property, unless otherwise provided by applicable law.


8.2 Sources of property of the Organization are:

  • voluntary contributions and donations;
  • revenues from lectures, exhibits, raffles, auctions, sporting and other events carried out in accordance with the Charter;
  • income from business activities of the Organization; civil legal transactions;
  • foreign-economic activity of the Organization;
  • other revenues are not prohibited by law.


8.3 Income from production and business activities of enterprises established by the Organization may not be distributed among members and should be spend to the Charter’s objectives of the Organization.


8.4 The property transferred to the Organization by individuals and legal entities in the form of gift, donation, and revenues from own business activities, acquired property, the products of intellectual and creative work, belong to the Organization for the Rights of Property.

 

9. The business activities of the Organization


9.1 The business activities of the Organization carried out in accordance the Civil Code and other legislative acts of the Russian Federation insofar as it serves the goal and objectives of this Charter, and complies with them.


9.2 The Organization may create economic partnerships and companies, as well as acquire property intended for business activity.


9.3 The business partnerships and companies created by the Organization making payments to the appropriate budgets in the manner and form established by the legislation of the Russian Federation.


9.4 Income from business activities cannot be distributed among the members of the Organization and will only be used to achieve the Charter’s goal and objectives.

 

10. The procedure of additions and changes the Charter


10.1 Changes and additions the Charter might be made by the General meeting.


10.2 All changes and additions to the Charter of the Organization are subject to state registration in accordance with the law and take effect from the date of this registration.

 

11. Reorganization and liquidation of the Organization


11.1 Reorganization of the Organization is possible by a decision of the General meeting if the decision to vote for at least 2/3 of the participating members of the Organization.


11.2 The organization may be liquidated by a decision of the General meeting if the decision to vote for at least 2/3 of the participating members or by court order. Liquidation or reorganization of the Organization should be done as prescribed by the legislation of the Russian Federation.


11.3 Property of the Organization, liquidated by a decision of the General meeting, after satisfaction of creditors' claims and perform other mandatory payments in accordance with the laws of the Russian Federation, is transferred to the goal and objectives contained in the Charter of the Organization. The decision to use the remaining assets is published in print media by the liquidation committee.


11.4 After the reorganization property of the Organization moves to the newly established legal entities in the manner prescribed by the current legislation of RF.


11.5 The liquidation of the Organization is recognized as completed, and the organization - ceased to exist after making this record in the state register of legal entities.
